The Mentor is willing to donate their time and services to the Purdue Innovates Accelerator (PRF), and in turn PRF is willing to accept such time and service by the Mentor. Wages. The Mentor understands the services provided will be a donation and under no circumstances will expect wages, salary, or benefits from PRF or any mentee company for the services provided within this agreement. Employment. The Mentor understands they are under no circumstances considered an employee of PRF and will receive no employee benefits. PRF acknowledges the Mentor is not an employee and may provide services at free will. Termination. Because the Mentor is not an active employee, they may terminate this Mentor agreement at any time for any reason they deem necessary. PRF may decline to accept the Mentor’s time and may terminate this agreement without prior notification. Expectations. While serving as a Mentor, PRF expects Mentors to: Provide mentorship services in an ethical and professional manner. Maintain the confidentiality of information supplied to Mentor by PRF and clients of the Purdue Innovates Accelerator (PIA Company). Refrain from any action or inaction that would compromise the interest of Purdue University, PRF, and PIA Company. Refrain from inducing an action or inaction by a PIA Company that would result in the PIA Company’s non-compliance with any PRF or Purdue University policy or violate any federal, state, or local law, regulation, or ordinance. Disclose to PRF in writing any proposed business transaction with a PIA Company, including prior to making an investment or serving in a paid, operational role. Refrain from receiving any compensation or gift from a PIA Company, including cash, services, ownership interest in the PIA Company, or other property.
